All proposals related to Metaplanet's plan to invest 2,100 BTC have been given the green light by Super League shareholders. That clears the path for the Nasdaq-traded entity to be rebranded as Superplanet and serve as the Japanese company's U.S. Bitcoin treasury arm.

The measures were approved during Super League Enterprise's 2026 annual shareholder meeting, which took place on Friday. The results were made public on Monday. The deal was originally unveiled in August.

According to the signed terms, Metaplanet Inc. will contribute 2,100 BTC and $2.5 million in cash via its wholly owned U.S. subsidiary, Metaplanet Holdings Inc.

In exchange, Metaplanet will receive 44,859,400 common shares priced at $3.00 each, along with preferred stock and warrants.

Following the deal's closure, Super League will be renamed "Superplanet, Inc." and trade on Nasdaq under the ticker "SUPA." Its advertising and media activation business will continue as a distinct operating segment, with Matt Edelman remaining as CEO.

The shareholder votes covered several items, including the issuance of common stock and warrants to Metaplanet, as well as the company name change. Also approved was an increase in authorized preferred shares from 10 million to 100 million, per a meeting summary posted on X.

“Super League stockholders have voted to approve the proposed Metaplanet transaction, an important step in our transformation from a Bitcoin treasury company into a global Bitcoin-native financial platform,” Metaplanet CEO Simon Gerovich wrote on X. “Upon close, Superplanet will be our U.S.-listed Bitcoin treasury platform, providing direct access to U.S. capital markets and greater flexibility to opportunistically raise capital.”

Edelman expressed a similar view in Super League's statement: “Their approval brings us one step closer to redefining what this company can become.”

The transaction is expected to close in Q4 2026, pending customary conditions, including required filings with the Nasdaq Capital Market. The shareholder vote was a necessary milestone but not the final one.

According to Super League, the deal sets up rules controlling Metaplanet's ability to sell its equity stakes after the transaction. The company did not provide details on any exceptions to those restrictions in its announcement.

As of August 18, Metaplanet held 43,000 BTC, describing itself as the third-largest corporate Bitcoin treasury among publicly traded companies. The combined structure is intended to give the group two listed Bitcoin treasury platforms — one on the Tokyo Stock Exchange, one on Nasdaq — each with its own investor base and reporting currency.

Super League connects brands to a 3.3 billion-person global gaming audience through advertising and branded content programs across gaming and digital media platforms. Metaplanet is a Tokyo-listed company building Bitcoin-based financial products and infrastructure.

Super League's stock price rose on the news.
