More Bitcoin for Strategy and Strive, Yet MSTR Holders Could Face Dilution

Strategy added 811 BTC and Strive 124 BTC; Strategy's bitcoin per diluted share fell roughly 0.17% due to new share issuance.

Strategy, the company formerly known as MicroStrategy, and rival Strive are beginning November with larger bitcoin holdings. The new purchases, though, point to a growing concern for Strategy stockholders: their slice of the company's bitcoin pile is getting smaller.

On Monday, November 2, the two firms revealed fresh bitcoin buys.

  • Strategy purchased 811 BTC for $65.5 million, growing its holdings to 849,327 BTC.
  • Strive added 124 more BTC, bringing its total to 43,124 BTC.

The effect on their respective shareholders, however, was strikingly different.

The Problem for Strategy's Shareholders

Strategy placed roughly 1.18 million new MSTR shares, raising $164 million. Just $65.5 million of those proceeds went into bitcoin; the remainder was kept as cash.

Put simply, the company created shares at a faster clip than it added bitcoin.

The upshot is that each diluted MSTR share now stands for roughly 0.17% less bitcoin.

Current holders therefore have a touch less bitcoin exposure per share, even as the company's overall holdings expand.

In the meantime, Strategy used $208 million to repurchase its STRC preferred stock, an amount more than triple what it spent on bitcoin.

The buyback reduces future dividend payments. Phong Le, Strategy's CEO, has previously described the effort as a commitment to “returning STRC to health.”

Strive's Move Offers a Different Take

The newest filing from Strive keeps its diluted share count flat, even as the company's bitcoin position grew.

As a consequence, bitcoin per diluted share at Strive rose by approximately 0.29%.

Strategy's bitcoin per diluted share was already down 3.7% for the year as of October 25. It is also authorized to sell another $18.6 billion worth of MSTR shares, which could dilute investors further.

With MSCI index exclusion risks piling on, the question for investors goes beyond bitcoin's price: how much of Strategy's expanding bitcoin treasury will each share actually represent?
